1. Introduction
This document outlines the terms of service, responsibilities, and limitations of liability between Neersoft Technology (“Company,” “We,” or “Us”) and the Client (“You” or “Customer”) engaging Neersoft for website design, development, hosting, or maintenance services.
By proceeding with a quotation, project, or payment, you agree to the following terms and conditions.
2. Scope of Work
All website design and development projects are executed according to the selected plan (Basic, Pro, or Plus) as listed on our official pricing page.
The following components are included in every project:
- Responsive and SEO-ready website design
- SSL configuration
- Basic website optimization
- Training and onboarding materials upon completion
Additional tools, integrations, or advanced security systems are offered as paid add-ons or part of higher-tier plans.
3. Payments and Deliverables
- All payments are to be made as per the agreed proposal or pricing structure.
- Development fees are non-refundable once work has commenced.
- Deliverables will be shared only upon full payment of the project or milestone completion.
- Late payments may result in temporary suspension of hosting, access, or maintenance support.
4. Maintenance and Warranty
4.1 Maintenance Scope
If you opt for a Yearly Maintenance or Subscription Plan, Neersoft will:
- Maintain hosting uptime and website accessibility.
- Perform scheduled backups as per your plan (weekly/daily).
- Provide malware monitoring and security patching (as per plan).
- Offer basic content or technical support.
4.2 No Maintenance Plan Selected
If you choose not to continue with a maintenance plan, Neersoft’s obligations end upon project handover.
In such cases:
- We will provide full access credentials and a final backup.
- You accept full responsibility for managing, updating, and securing your website post-handover.
- Neersoft will not be liable for any issues, downtime, or losses thereafter.
5. Security Policy and Client Responsibility
5.1 Standard Security Measures
Neersoft implements standard preventive security measures in all projects, including:
- SSL certificates
- Firewall or Cloudflare integration (as per plan)
- Limited malware scanning (Basic Plan)
- Professional-grade malware protection via MalCare (Pro/Plus or add-on)
5.2 Client Responsibility
Security is a shared responsibility. Clients must:
- Keep credentials confidential.
- Avoid unauthorized plugin installations.
- Use Cloudflare or similar protection (free or paid).
- Subscribe to a paid backup/security plan for complete protection.
Failure to follow the above voids any warranty or support claims.
5.3 Security Limitation of Liability
Neersoft is not responsible or liable for:
- Malware or hacking incidents occurring post-delivery if the client declines paid security.
- Data loss caused by hosting issues, user errors, or third-party integrations.
- Unauthorized access or damage due to credentials shared by the client.
If a breach occurs and no active security plan exists, Neersoft may offer paid recovery services at actual cost.
6. Backup Policy

If no backup plan or subscription is active, Neersoft shall not be responsible for data loss, deletion, or corruption caused by malware, hosting failures, or client actions.
7. Ownership and Intellectual Property
- Upon full payment, the client owns all website content, graphics, and domain.
- Neersoft retains ownership of proprietary frameworks, scripts, or internal tools used in development.
- Reuse or resale of Neersoft intellectual property is prohibited without written consent.
8. Confidentiality
Both parties agree to maintain confidentiality of:
- Credentials, passwords, and access data
- Business-related information and assets
Breach of confidentiality may lead to immediate termination of services.
9. Cancellation and Refund Policy
- Cancellation requests must be made in writing.
- Once design/development work has started, all fees paid are non-refundable.
- Unused months in annual maintenance plans are non-refundable but transferable upon management approval.
10. Support and Response Time

Support hours: Mon–Sat, 10 AM – 7 PM IST
No support will be available on Sundays or Indian public holidays.
11. Disclaimer of Liability
To the maximum extent permitted by law:
- Neersoft Technology shall not be liable for any indirect, incidental, or consequential damages arising from use or loss of your website.
- No warranty, expressed or implied, applies to client-managed sites without an active maintenance or security plan.
- The client acknowledges full understanding that opting out of paid protection may result in irreversible data or financial loss.
12. Termination
Neersoft reserves the right to suspend or terminate any account or project if:
- Payment terms are violated,
- Abusive or unethical behavior occurs,
- The website is used for illegal or malicious purposes.
13. Governing Law & Jurisdiction
These terms are governed by the laws of India, and any disputes shall be subject to the exclusive jurisdiction of the courts of Pune, Maharashtra.
