Welcome to Neersoft Technology LLP. By accessing or using our website https://neersoft.com, engaging with our services, or subscribing to our products and implementations, you agree to be bound by these Terms and Conditions (“Terms”).
If you do not agree, you should not use our website, services, or products.
1. Scope of Services
Neersoft Technology LLP (“Neersoft”, “we”, “our”, or “us”) is a service provider and implementation partner. We do not develop or own third-party platforms. Our services include, but are not limited to:
- Website design & development
- Digital marketing & paid advertisements (Google Ads, Meta Ads, etc.)
- Graphic design & branding
- CRM, ERP, billing & other software implementation (Odoo, Zoho, and other 3rd party platforms)
- WhatsApp Marketing automation tool “Flow” (built on Jio Haptik platform)
2. Third-Party Platforms & Dependencies
- Neersoft acts only as an implementation and integration partner for third-party platforms such as Jio Haptik, Odoo, Zoho, Google Ads, Meta Ads, etc.
- Each of these platforms has its own Terms & Conditions, which apply to the client in addition to Neersoft’s Terms.
- Neersoft is not liable for downtime, bugs, policy changes, restrictions, or account suspensions caused by third-party platforms.
3. No Guarantee of Results
- Neersoft provides best-effort services only.
- For marketing, paid ads, SEO, or lead generation services, results (leads, conversions, revenue, ROI, traffic, etc.) are not guaranteed.
- For Flow (WhatsApp automation tool), functioning depends on Jio Haptik infrastructure. Guaranteed support is not included. We will make reasonable efforts to resolve issues but no guarantee is provided.
4. Refund & Cancellation Policy
- Strictly No Refunds apply to all services and products, including but not limited to:
- Website design & development
- Marketing and paid advertisements
- Flow (WhatsApp marketing tool)
- CRM/ERP/Software implementations
- Once a project, campaign, or subscription has been initiated, the client is liable for full payment as agreed in the proposal/contract.
5. Delivery Timelines
- All timelines, milestones, and delivery schedules provided by Neersoft are estimates only.
- Delays may occur due to dependencies on clients, third-party platforms, unforeseen technical issues, or regulatory approvals.
- Neersoft shall not be held liable for losses, damages, or penalties arising from such delays.
6. Client Responsibilities
The client agrees to:
- Provide all necessary content, approvals, and access credentials in a timely manner.
- Ensure that they have the legal right to use all data, content, and materials shared with Neersoft.
- Be solely responsible for compliance with third-party platform policies (Google, Meta, Jio Haptik, Odoo, Zoho, etc.).
7. Payments
- A minimum 50% advance payment is required before commencement of work, unless agreed otherwise in writing.
- Balance payment is due on completion or as per agreed milestones.
- All payments are non-refundable.
- Delayed payments may incur a late fee of 1.5% per month or the maximum allowed by law.
- Services may be suspended until outstanding dues are cleared.
8. Intellectual Property
- All code, creatives, and designs developed by Neersoft remain its property until full payment is received.
- Upon full payment, ownership of final deliverables transfers to the client (excluding proprietary tools, plugins, or third-party software).
- Neersoft may showcase completed work in its portfolio unless otherwise requested in writing.
9. Confidentiality
Both parties agree to maintain strict confidentiality of any business, technical, or proprietary information shared during the engagement.
10. Limitation of Liability
- Neersoft’s total liability shall not exceed the total fees paid by the client for the specific service giving rise to the claim.
- Neersoft shall not be liable for:
- Loss of revenue, profits, or business opportunities
- Data loss or corruption
- Service downtime caused by third-party providers
- Indirect, incidental, or consequential damages
11. Indemnity
The client agrees to indemnify and hold Neersoft harmless against all claims, damages, liabilities, costs, and expenses (including legal fees) arising out of:
- Use of deliverables (websites, ads, campaigns, software, etc.)
- Breach of laws, third-party rights, or platform policies by the client
- Misuse or illegal use of services provided
12. Termination
- Either party may terminate with a 30-day written notice.
- Neersoft may terminate immediately if the client breaches payment terms, misuses services, or violates laws/platform policies.
- Upon termination, all dues for services rendered up to the termination date must be paid in full.
13. Governing Law & Jurisdiction
- These Terms shall be governed by the laws of India.
- All disputes shall be subject to the exclusive jurisdiction of the courts of Pune, Maharashtra, India.
14. Modifications
Neersoft reserves the right to update or modify these Terms at any time. Changes will be effective immediately upon posting on our website. Continued use of services constitutes acceptance of the revised Terms.
15. Website, Domain, Server Handover, Migration & Data Deletion Policy During Maintenance Period
During the active Website Maintenance or Hosting Agreement period with NeerSoft, the Client shall not be entitled to request the handover, migration, or transfer of the website, domain, hosting server, or any associated digital assets prior to two (2) months before the official renewal or due date of the respective services.
For example, if the Domain or Hosting Server renewal date is April 2026, NeerSoft reserves the full right to decline, restrict, or cancel any handover or migration request submitted before February 2026.
In such cases, the Client must wait until the service expiration date, domain expiry, or server account deletion process is completed before any transfer request can be processed.
Furthermore:
- No website backup data shall be provided to the Client free of charge upon early termination or transfer request.
- A one-time fee of INR 10,000 shall be applicable for providing backup of a simple static website.
- A one-time fee starting from INR 15,000 or above shall be applicable for providing backup of an eCommerce website.
- Backup files will be provided using tools such as All-in-One WP Migration or any other similar standard migration solution as deemed appropriate by NeerSoft.
- NeerSoft shall provide only backup files for migration purposes and will not offer any technical support, consultation, restoration assistance, or migration support on the Client’s new hosting/server environment after handover.
- Post migration or service termination request, NeerSoft shall not be responsible for website functionality, compatibility, downtime, data loss, or configuration issues on any third-party platform or hosting service.
Additionally:
- Upon Domain expiry, it shall be the sole responsibility of the Client to renew or register the same domain name on time.
- NeerSoft does not guarantee the future availability, reservation, or successful re-registration of any expired domain name under any circumstances.
16. Data Deletion & Liability Waiver
In the event of service expiration, termination, or non-renewal:
- NeerSoft reserves the right to permanently delete all website data, emails, databases, files, backups, and associated content from its servers without any prior notice after the service expiry date.
- NeerSoft shall not be held liable for any data loss, business interruption, financial loss, or reputational damage arising due to deletion of data post expiry or non-renewal of services.
- It shall be the Client’s sole responsibility to request backup data prior to service expiry and complete the migration process within the stipulated time frame.
All the above charges shall be applicable on a one-time basis and must be cleared prior to the release of any backup files or data.
17. Early Exit / Service Termination Policy
In the event that the Client wishes to terminate the Website Maintenance, Hosting, or Domain Management Services with NeerSoft prior to the official renewal or service expiry date, the following terms shall apply:
- Any request for early termination, migration, or handover of website, hosting server, or domain services shall be treated as an Early Exit Request.
- NeerSoft reserves the full right to approve or decline such requests during the active service period.
- Upon acceptance of an Early Exit Request, NeerSoft shall provide only the applicable website backup files subject to the standard backup charges mentioned in this agreement.
- NeerSoft shall not provide any technical assistance, consultation, restoration support, or migration support on third-party hosting platforms or servers post exit.
- All ongoing service benefits, technical support, maintenance, uptime monitoring, or performance guarantees shall stand immediately terminated upon approval of the Early Exit Request.
- Domain transfer requests (if applicable) shall be processed strictly as per ICANN transfer policies and timelines, and NeerSoft shall not be responsible for delays caused by third-party registrars or hosting providers.
- No refunds shall be applicable for any unused period of maintenance, hosting, or domain services after an Early Exit Request has been approved.
NeerSoft shall not be held liable for any direct or indirect loss including but not limited to website downtime, data loss, SEO ranking impact, email service disruption, or business interruption resulting from early termination or migration of services.
