Terms of Service – Google Workspace

1. Role & Relationship

NEERSOFT TECHNOLOGY LLP (“NeerSoft”) acts as an Indirect Reseller of Google Workspace and related cloud services, procured through Ingram Micro India Private Limited, an authorized Google distributor.
NeerSoft is not Google and does not represent itself as Google or Ingram Micro. Google Workspace services are provided directly by Google under Google’s applicable terms.

2. Scope of Services

NeerSoft provides:

• License procurement via Ingram Micro
• Customer onboarding & configuration assistance
• Level‑1 support and coordination with distributor/vendor

All product functionality, uptime, service availability, and warranties are governed solely by Google’s terms and SLAs.

3. Ordering & Activation

• Orders are processed only after written confirmation from the customer.
• Once licenses are provisioned or activated, orders are non‑cancellable and non‑refundable.
• Changes to user count, plan, or billing cycle after activation may not be reversible.

4. Pricing & Validity

• Prices are based on distributor/vendor pricing and are subject to change without prior notice.
• Any promotional pricing or discount is valid only if confirmed in writing.
• NeerSoft shall not be bound by any verbal commitments.

5. Payment Terms

• Full payment must be made in advance unless otherwise agreed in writing.
• NeerSoft’s obligation to the distributor remains independent of customer payment status.
• Delayed payments may result in:
  • Suspension of services
    • License termination
    • Late payment charges

6. Taxes & GST Compliance

• All prices are exclusive of applicable taxes unless stated otherwise.
• Customer must provide correct GSTIN, billing address, and place of supply.
• Any tax demand, penalty, or denial of ITC arising due to incorrect information shall be the sole responsibility of the customer.
• Credit notes, if issued, may require reversal of proportionate input tax credit by the customer.

7. Renewals & Auto‑Renewal

• Subscriptions are generally auto‑renewed unless cancelled within the prescribed timeline.
• Renewal invoices raised by NeerSoft are payable regardless of customer usage.
• Failure to cancel before renewal cutoff will result in full renewal billing.

8. Cancellations & Refunds

• No refunds are permitted once a subscription is active.
• Early termination by the customer does not entitle them to any credit or refund.
• This applies to monthly, annual, and multi‑year plans.

9. Support & Responsibilities

• NeerSoft provides Level‑1 support only.
• Google and/or Ingram Micro provide backend or escalated support.
• NeerSoft is not responsible for:
  • Google service outages
    • Data loss
    • Account suspensions due to policy violations

10. Customer Obligations

Customer agrees to:

• Use services as per Google Acceptable Use Policy
• Maintain secure credentials
• Ensure lawful use of services
• Avoid resale or usage outside India without approval

Any misuse or violation may result in service suspension or termination without liability on NeerSoft.

11. Data Protection & Consent

Customer authorizes NeerSoft to share necessary customer and user data with Google and Ingram Micro for service delivery.
Customer confirms that all necessary consents have been obtained from its end users.

12. Limitation of Liability

To the maximum extent permitted by law:

• NeerSoft shall not be liable for indirect, incidental, or consequential damages.
• NeerSoft’s total liability, if any, shall be limited to the amount paid by the customer for the affected subscription period.

13. Indemnity

Customer agrees to indemnify and hold harmless NeerSoft against any claims, penalties, losses, or damages arising from:

• Customer’s misuse of services
• Legal or regulatory non‑compliance
• Breach of Google or applicable laws

14. Governing Law & Jurisdiction

These terms shall be governed by the laws of India.
All disputes shall be subject to the exclusive jurisdiction of courts in Mumbai, Maharashtra.

15. Acceptance

By placing an order, making payment, or using the services, the customer confirms acceptance of these Terms & Conditions in full.
